Before we show you around
The preview shows how PowerMine works behind the scenes. Please read and sign this short nondisclosure agreement first. It takes about a minute.
Mutual Nondisclosure Agreement
Volunteer Digital Ventures, Inc. · Version 1.0 (2026-10-20)
This agreement is between Volunteer Digital Ventures, Inc., a Tennessee corporation, 1135 Gray Bill Dr, Gallatin, TN 37066 ("VDV"), and the person and business named in the signature block (the "Recipient"). It takes effect when the Recipient signs.
1. Why we are sharing. VDV and the Recipient are talking about the Recipient hosting PowerMine™ or doing other business with VDV (the "Purpose"). To do that, each of us may show the other information that is not public.
2. What is confidential. "Confidential Information" is anything non-public one of us shares with the other for the Purpose, in any form, including what is shown on a screen, a web page or a demo: how PowerMine works, its software, games, mining and hashrate setup, suppliers, pools and partners, pricing, rates, revenue share, store economics, agreement terms, plans and customer information. It does not include information that is already public through no fault of the person receiving it, that they already had or develop independently, or that they lawfully get from someone else without a duty of confidence.
3. What each of us agrees. The person receiving Confidential Information will:
- use it only for the Purpose;
- not share it with anyone except their own owners, employees and advisers who need it for the Purpose and are bound to keep it confidential;
- not copy, photograph, screenshot, record or forward it, or share the links that show it, without written permission; and
- protect it at least as carefully as their own confidential information, and never less than reasonably.
4. No going around VDV. For two (2) years after signing, the Recipient will not use VDV's Confidential Information to contact or deal with VDV's suppliers, mining pools, software developers or partners to build, buy or host a product like PowerMine, or help anyone else do so.
5. If the law requires disclosure. If either of us is required by law or court order to disclose Confidential Information, we may do so after giving the other prompt notice where the law allows, and only to the extent required.
6. Returning information. On request, the person receiving Confidential Information will return or delete it, including copies.
7. How long it lasts. These duties last three (3) years from signing, and for trade secrets, as long as they remain trade secrets.
8. No other obligation. This agreement does not require either of us to do any deal, does not grant any license, and does not make either of us the other's partner or agent. All information is shared as is.
9. Remedies. A breach could cause harm that money cannot fully repair, so the harmed party may seek an injunction in addition to any other remedy.
10. Law and courts. Tennessee law governs this agreement. Any dispute goes to the state or federal courts in Sumner County, Tennessee.
11. Signing electronically. Signing this agreement electronically, by typing a name and tapping "I agree and sign," is a valid signature, as binding as one on paper. This is the whole agreement on this subject. It changes only in a writing both of us sign.
